Terms and Conditions

GDOnline Limited ("Gaydar", "We", or "Us") owns and operates the Gaydar mobile app and related websites ("www.gaydar.net"). By using Gaydar you accept these Terms and Conditions of the Service (the "Agreement"). If you do not agree with this Agreement, simply stop using Gaydar.

1. Who can use Gaydar

You must be at least 18 years old to use Gaydar. By using Gaydar, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. If you use Gaydar, you represent and warrant that you have never been convicted of a felony and that you are not required to register as a sex offender with any government entity.

2. License to use Gaydar

Except as expressly permitted by GDOnline Limited in writing, you will not reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble Gaydar. Nor will you take any measures to interfere with or damage Gaydar. All rights not expressly granted by GDOnline Limited are reserved.

3. Limitation of Liability

3.1. You are solely responsible for your physical and or virtual interactions with other Gaydar members. You understand that GDOnline Limited currently does not conduct criminal background checks on its members. Gaydar also does not inquire into the backgrounds of all of its members or attempt to verify the statements of its members. GDOnline Limited makes no representations or warranties as to the conduct of members or their compatibility with any current or future member. GDOnline Limited reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches), at any time and using available public records.

3.2. In no event shall GDOnline Limited be liable for any damages whatsoever, whether direct, indirect, general, special, exemplary, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the service, including without limitation, bodily injury, death, emotional distress, and/or any other damages resulting from communications or meetings with other members of the Gaydar service or persons you meet through Gaydar. You agree to take reasonable precautions in all interactions with other members of the service, particularly if you decide to meet offline or in person.

3.3. GDOnline Limited reserves the right to modify Gaydar. You are responsible for providing your own access to Gaydar. GDOnline Limited has no obligation to screen or monitor any content and does not guarantee that any content available on Gaydar complies with this Agreement or is suitable for all members.

3.4. GDOnline Limited does not warrant that the functions contained in the Gaydar products will be uninterrupted or error-free, that defects will be corrected, or that the Gaydar or the server that makes it available are free of viruses or other harmful components

3.5. GDOnline Limited and its suppliers and partners (including Gaydar’s third party wireless carrier partners) do not warrant or make any representations regarding the use or the results of the use of any location information or the other Gaydar services in terms of security, safety, accuracy or reliability, or otherwise. You (and not GDOnline Limited or its suppliers and partners) assume the entire costs of any necessary services or equipment necessary to access Gaydar. You understand and agree that You download or otherwise obtain material or data through the use of Gaydar at Your own discretion and risk.

3.6. GDOnline Limited provides Gaydar on an “as is” and “as available” basis. You therefore use Gaydar at your own risk. GDOnline Limited expressly disclaims any and all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranty that might arise under any law. Without limiting the foregoing, GDOnline Limited makes no representations or warranties:

  • That Gaydar will be permitted in your jurisdiction;
  • That Gaydar will be uninterrupted or error-free;
  • Concerning any content submitted by any member;
  • Concerning any third party’s use of content that you submit;
  • That any content you submit will be made available on Gaydar or will be stored by GDOnline Limited;
  • That GDOnline Limited. will continue to support any particular feature of Gaydar;
  • Concerning sites and resources outside of Gaydar, even if linked to from Gaydar.

To the extent any disclaimer or limitation of liability does not apply, all applicable express, implied, and statutory warranties will be limited in duration to a period of thirty (30) days after the date on which you first used Gaydar, and no warranties shall apply after such period.

4. Privacy Policy

Your privacy rights are set forth in our Privacy Policy, www.gaydar.net/content/privacy which forms a part of this Agreement. Please review the Privacy Policy to learn about:

  • What information we may collect about you
  • What we use that information for
  • What third-party information, if any, you are agreeing to share by using Gaydar;
  • With whom we share that information;
  • What are your rights with regard to your personal data we hold and process; and
  • How to access your data, request and make changes and how to delete it.

5. Registration

5.1. If You create an account on any of the Gaydar Services (a “Member Account”) and submit information to Us, You must ensure that such information is accurate. You must promptly update such information if it changes.

5.2. Accounts are personal. You may not use anyone else’s account at any time. You may not buy, sell, rent, or lease access to Your Member Account or Your member name without Our written permission. You will not share or otherwise transfer Your Member Account or credentials.

5.3. You are entirely responsible for maintaining the confidentiality of Your password and account. You are entirely responsible for any and all activities that occur under Your account. You agree to notify GDOnline Limited immediately of any unauthorised use of Your account or any other breach of security. We will not be liable for any loss, damages, liability, expenses or attorneys’ fees that You may incur as a result of someone else using Your password or account, either with or without Your knowledge. You will be liable for losses, damages, liability, expenses and attorneys’ fees incurred by GDOnline Limited or a third party due to someone else using Your account, regardless of whether they are authorised.

5.4. We have no obligation to retain a record of Your account. GDOnline Limited has no obligation to retain a record of Your account or any data or information that You may have stored for Your convenience by means of Your account or the Gaydar Services.

6. Usage Rules

6.1. Gaydar Photo Guidelines, (the “Guidelines”), as amended from time to time, are hereby incorporated into this Agreement by reference. Please read the Guidelines carefully before providing any photo, text, or links to the Gaydar Services. These Guidelines are subject to change at any time for any reason without notice to You or Our being liable to You.

6.2. We may delete Your submissions and We may ban Your Account. Gaydar can request that You delete, or Gaydar may delete, any Member Content (as defined below) at any time for any reason, or no reason whatsoever. Any violation of the Guidelines by Your Member Content, as determined by GDOnline Limited, may result in Your Member Account being banned and may lead to the termination of Your access to the Gaydar Services.

6.3. You understand and hereby acknowledge and agree to the following terms regarding prohibited conduct and uses listed below:

  • You will NOT use the Gaydar Services or any information displayed within the Gaydar Services to "stalk", harass, abuse, defame, threaten or defraud other Members; violate the privacy or other rights of Members; or collect, attempt to collect, store, or disclose without permission location or personal information about other Members;
  • You will NOT include offensive materials, or materials that are harmful in Your Gaydar Services personal profile page;
  • Pictures of an Adult nature may be included on you public gallery but Gaydar reserves the right to restrict access to certain membership types;
  • You will NOT use the Gaydar Services for the commission or encouragement of any illegal purpose, or in violation of any local, state, national, or international law, including laws governing criminal acts, prohibited or controlled substances, intellectual property and other proprietary rights, data protection and privacy, and import or export control;
  • You will NOT include material on Your personal profile page which contains video, audio, photographs, or images of any person under the age of eighteen (18) at all or any person over the age of eighteen (18) without his or her express permission;
  • You will NOT impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the GDOnline Limited Member Accounts of other Members;
  • You will NOT misrepresent the source, identity or content of information transmitted via the Gaydar Services;
  • You will NOT remove, circumvent, disable, damage or otherwise interfere with security-related features of the Gaydar Services, features that prevent or restrict use or copying of any content accessible through the Gaydar Services, or features that enforce limitations on use of the Gaydar Services;
  • You will NOT intentionally interfere with or damage operation of the Gaydar Services or any Member’s enjoyment of them, by any means, including uploading or otherwise disseminating viruses, worms, or other malicious code;
  • You will NOT post, store, send, transmit, or disseminate any information or material which a reasonable person could deem to be objectionable, defamatory, libellous, offensive, obscene, indecent, pornographic, harassing, threatening, embarrassing, distressing, vulgar, hateful, racially or ethnically or otherwise offensive to any group or individual, intentionally misleading, false, or otherwise inappropriate, regardless of whether this material or its dissemination is unlawful;
  • You will NOT post, store, send, transmit, or disseminate any information or material which infringes any patents, trademarks, trade secrets, copyrights, or any other rights of any person;
  • You will NOT use the Gaydar Services with any products, systems, or applications installed or otherwise connected to or in communication with vehicles, or otherwise capable of vehicle navigation, positioning, dispatch, real time route guidance, fleet management, or similar applications;
  • You will NOT use the Gaydar Services in connection with hazardous environments requiring fail-safe performance or any application in which the failure or inaccuracy of that application or the Gaydar Services could lead to death, personal injury, or physical or property damage;
  • You will NOT attempt to gain unauthorised access to the Gaydar Services, or any part of it, other accounts, computer systems or networks connected to the Gaydar Services, or any part of it, through hacking, password mining or any other means, or interfere or attempt to interfere with the proper working of the Gaydar Services or any activities conducted on the Gaydar service;
  • You will NOT probe, scan, or test the vulnerability of the Gaydar Services or any system or network; use any robot, spider, scraper or other automated means to access the Gaydar Services for any purpose without Our express written permission; bypass Our robot exclusion headers or other measures We may use to prevent or restrict access to the Gaydar Services; modify the Gaydar Services in any manner or form; use or develop any application that interacts with the Gaydar Services or provides access to other Members’ content or information without Our written permission; or use modified versions of the Gaydar Services, including for the purpose of obtaining unauthorised access to the Gaydar Services; and
  • You will NOT interfere with anyone’s ability to use or enjoy the Gaydar service, or aid or encourage any activity prohibited by this Agreement.

7. Payments

7.1. Premium Features. Certain features may be available only through creation/upgrade of a Member Account to VIP Membership status and payment of a fee ("Premium Services"). Through such accounts, You will have access to such Premium Services for a fixed term, which will automatically renew. The term, renewal period, and the total cost of each Premium Service offering will be provided within the Gaydar Services or otherwise where the Premium Services are offered.

7.2. Premium Services Purchase Options. Premium services can be purchased on a "Pay Once" basis or "Recurring" (Automatic Renew). Recurring Premium Services renew continuously. You acknowledge and agree that premium services that do automatically renew will continually renew unless you cancel it or We suspend or terminate it in accordance with this agreement.

7.3. Trial Premiums. Access to Gaydar Premium Services may from time to time be made available on a time-limited free trial basis (a "Trial" or "Trial Premiums"). Please note that this Agreement applies to a Trial. You may be asked to provide Your credit or debit card information when registering for a Trial. In such event, Your credit or debit card will only be charged if You do not cancel Your Trial before the end of the Trial period. If We ask for Your credit or debit card information and You do not affirmatively cancel before the end of the Trial, then Your Trial may be converted into a paid subscription and Your credit or debit card may be charged the subscription fee in effect at the time Your Trial first began. Trial Premiums are not available to former Members of Premium Services or Members who have previously received a free trial and cancelled it prior to paying for Premium Services.

7.4. Cancellation Policy. You may cancel Your premium services at any time, subject to the terms of this agreement. In order to cancel, you must follow the instructions given on any of the Gaydar Services. There are no cancellation fees.

7.5. Purchases. We reserve the right to correct errors (whether by changing information on the Gaydar Services or by informing You of the error and giving You an opportunity to cancel Your order) or to update information at any time without notice. We may grant or deny cancellation requests for individual orders in Our sole and absolute discretion. All sales are final.

7.6. Promo Codes. GDOnline Limited may, from time to time, in its sole discretion, offer certain promotional codes for discounts. Promotional codes are non-transferable and are not redeemable for cash, credit, or toward previous purchases. There is no cash alternative. Furthermore, promotional codes cannot be used in conjunction with any other offer or promotional discount, and must be redeemed by the date published, if provided. Lost promotional codes cannot be replaced. Limit one promotional code per customer. Promotional codes are void where prohibited. Any promotional program may be terminated or modified by GDOnline Limited at any time in Our sole discretion.

7.7. Taxes. All payments to GDOnline Limited are exclusive of all taxes, levies, or duties imposed by taxing authorities, and You are responsible for payment of all such taxes, levies, or duties.

7.8. Payments Are Non-Refundable. Any and all payments made to GDOnline Limited are final and all charges are non-refundable. Cancellations are effective from the following billing period in which payment is due. You will not receive a refund for any payment amount, even if payment was made for multiple billing periods.

7.9. Your full card details are stored and processed by Stripe Inc. or via services provided by Apple In-App Purchases or Google Play Billing, they are not stored in our own database for security reasons.

8. Termination and Account Deletion

8.1. This Agreement begins on the date you first use Gaydar and continues until terminated in accordance with the provisions hereof.

8.2. GDOnline Limited. may suspend, disable, or delete your account (or any part thereof) if GDOnline Limited determines that you have violated any provision of this Agreement or that your conduct or content would tend to damage GDOnline Limited’s reputation or goodwill. If GDOnline Limited deletes your account for the foregoing reasons, you may not re-register under a different name.

8.3. Upon termination, all licenses granted by GDOnline Limited will terminate. In the event of account deletion for any reason, content that you submitted may no longer be available and deleted from the database. GDOnline Limited shall not be responsible for the loss of such content.

9. Account Suspension

9.1. If You have a Member Account set up for recurring billing for a Premium Service, you may cancel Your Member Account at any time. You will continue to have the same access for any billing period or periods for which You have paid. If we believe that Your profile content or Your conduct within the Gaydar Software or Gaydar Services violates Our Terms of Service, Your access and Member Account may be immediately terminated and all payments forfeited.

9.2. GDOnline Limited reserves the right to refuse or suspend access to any member, for any reason or no reason, and without any notice.

9.3. GDOnline Limited may terminate any Member Account You have with the Gaydar Services or your use of the Gaydar Services or any portion thereof. Gaydar may also remove and discard all or any part of Your Member Account or any Member Content (as defined below), at any time. You agree that any termination of Your access to the Gaydar Services or any Member Account You may have or portion thereof may be effected without prior notice, and You agree that Gaydar will not be liable to You or any third party for any such termination. For example, we may deactivate Your account due to prolonged inactivity. Without limitation of our other rights, we reserve the right to delete all Your Member Content from the Gaydar Service upon any termination or cancellation of Your Member Account. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of Your use of the Gaydar Services may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies Gaydar may have at law or in equity.

9.4. If You believe that Gaydar has suspended or terminated Your Member Account in error, you may contact Us at support@gaydar.net at any time.

10. Code of Conduct

In using Gaydar, you must behave in a civil and respectful manner at all times. Further, you will not:

  • Harass or stalk any other person;
  • Harm or exploit minors;
  • Act in a deceptive manner by, among other things, impersonating any person;
  • Collect information about others;
  • You will not express or imply that any statements you make are endorsed by GDOnline Limited without our specific prior written consent.
  • You will not distribute spam, and will not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine", or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents.
  • You will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
  • You will not interfere with or disrupt the services or the site or the servers or networks connected to the services or the site.
  • You will not post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

11. Member Generated Content ("UGC") Policy

You are solely responsible for the content that you publish or display (hereinafter, "post") on the Service, or transmit to other Members. You will not post on the service, or transmit to other members, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or ill material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to GDOnline Limited or to any other member. The following is a partial list of content you may not upload, post, or transmit (collectively, "submit")

  • is patently offensive to the online community, such as content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  • harasses or advocates harassment of another person;
  • promotes information that is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;
  • provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under the age of 18;
  • contains sexually explicit content;
  • provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  • involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";
  • promotes an illegal or unauthorised copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated images, audio or video, or links to pirated images, audio or video files;
  • solicits passwords or personal identifying information for commercial or unlawful purposes from other members;
  • engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes;
  • Infringes any third party’s copyrights or other rights (e.g., trademark, privacy rights, etc.);
  • Your use of the Service, including but not limited to the content you post on the service, must be in accordance with any and all applicable laws and regulations. You may not include in your member profile any telephone numbers, street addresses, last names, URLs, email addresses, or any other sort of personal information that might reveal yours or others’ full identity.

    12. Licenses Granted by You

    You grant GDOnline Limited and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from your content. In addition, you waive any so-called “moral rights” in your content. You further grant all members of Gaydar permission to view your content for their personal, non-commercial purposes. If you provide feedback to GDOnline Limited that will help us improve and/or add new features in Gaydar, GDOnline Limited will have the right to use your feedback without compensating you in any sort.

    13. Indemnification

    You will indemnify, defend, and hold harmless GDOnline Limited and its affiliates, directors, officers, employees, and agents, from and against all third-party actions that:

    • arise from your activities on Gaydar;
    • assert a violation by you of any term of this Agreement; or
    • assert that any content you submitted to Gaydar violates any law or infringes any third party right, including any intellectual property or privacy rights.

    14. Your Warranties and Your Representations

    For each piece of content that you submit, you represent and warrant that:

    • you have the right to submit the content to Gaydar and grant the licenses set forth above;
    • GDOnline Limited will not need to obtain licenses from any third party or pay royalties to any third party;
    • the content does not infringe any third party's rights, including intellectual property rights and privacy rights; and
    • the content complies with this Agreement and all applicable laws.

    15. Third Party Copyrights and Other Rights Copyright Policy

    15.1. GDOnline Limited respects the intellectual property of others, and We ask our members to do the same. Each member is responsible for ensuring that the materials they upload to Gaydar do not infringe any third-party copyright.

    15.2. GDOnline Limited will promptly remove materials in accordance with the Digital Millennium Copyright Act (“DMCA”) if properly notified that the materials infringe a third party’s copyright. In addition, GDOnline Limited may, in appropriate circumstances, terminate the accounts of repeat copyright infringers.

    16. DMCA Take Down Notice

    If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with a written notice containing the following information:

    • Your name, address, telephone number, and email address (if any);
    • A description of the copyrighted work that you claim has been infringed;
    • A description of where the material that you claim is infringing is located on Gaydar, sufficient for GDOnline Limited to locate the material;
    • A statement that you have a good faith belief that the use of the copyrighted work is not authorised by the copyright owner, its agent, or the law;
    • A statement by you that the information in your notice is accurate and, UNDER PENALTY OF PERJURY, you are the copyright owner or authorised to act on the copyright owner's behalf;
    • An electronic or physical signature of the person authorised to act on behalf of the owner of the copyright interest.

    17. DMCA Counter-Notification

    If you believe that your material has been removed by mistake or misidentification, please provide GDOnline Limited with a written counter-notification containing the following information:

    • Your name, address, telephone number, and email address (if any);
    • A description of the material that was removed and the location where it previously appeared;
    • A statement UNDER PENALTY OF PERJURY that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification; and
    • Your electronic or physical signature.

    Please note that we will provide complete counter-notifications to the person making the DMCA claim. That person may elect to ile a lawsuit against you for copyright infringement. If we do not receive notice that a lawsuit has been filed within ten (10) business days after we provide notice of your counter-notification, we will restore the disabled materials. Until that time, your materials will remain disabled. Warning In filing a DMCA notice or counter-notification, please ensure that you have complied with all of the above requirements. If we request additional information necessary to make DMCA your notice or counter-notification complete, please provide that information promptly. If you fail to comply with all of the requirements, your notification or counter-notification may not be processed.

    18. Legal Juristic

    We make no representation that any of the Materials or any other materials on the Website or app are appropriate or available for use in locations outside the United Kingdom, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access the Website or download the app from locations outside the United Kingdom do so at their own risk and are responsible for compliance with local laws.

    19. Advertising

    Gaydar may publicly display advertisements and other information adjacent to Your Content. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice or Our being liable to You.

    20. General Provisions

    20.1. The Terms and Agreement shall be governed by and interpreted in accordance with the laws of England and Wales whose courts shall have exclusive jurisdiction in relation to any disputes arising under the Terms.

    20.2. If any of the Terms are determined to be illegal, invalid or otherwise unenforceable under UK law, then to the extent that term is illegal, invalid or unenforceable, it shall be severed and deleted from the Terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

    20.3. If there is any conflict between the Terms and specific terms appearing elsewhere on the app, website, or any other GDOnline Limited’s website then the Terms shall prevail.

    20.4. GDOnline Limited reserves the right to transfer, assign, or sub-contract the benefit of the whole or part of any of its rights or obligations under the Terms to any third party. You may not assign, or sub-contract any of your rights or obligations under the Terms to any third party unless agreed in writing by GDOnline Limited. GDOnline Limited reserves the right, at any time, without prior notice, to assign, transfer or license, a Member's Table Crowd’s account to another legal entity. No provision of the Terms shall be enforceable by a third party under the Contracts (Rights of Third Parties) Act 1999.

    20.5. Delay in exercising, or a failure to exercise, any right or remedy in connection with the Terms shall not operate as a waiver of that right or remedy. A single or partial exercise of any right or remedy shall not preclude any other or further exercise of that right or remedy, or the exercise of any other right or remedy.

    20.6. A waiver of a breach of the Terms shall not constitute a waiver of any subsequent breach.

    21. Modification; Entire Agreement

    This Agreement may not be modified except by a revised Terms of Service posted by GDOnline Limited on Gaydar or a written amendment signed by an authorised representative of GDOnline Limited.

    A revised Terms of Service will be effective as of the date it is posted. This Agreement constitutes the entire understanding between GDOnline Limited and You concerning the subject matter hereof and supersedes all prior agreements and understandings regarding the same.
